FOUNDING PT AMBASSADOR

A clear partnership.
A genuine voice.

MYELITEPT FOUNDING AMBASSADOR AGREEMENT

1. Parties and business details

This agreement is between MYELITEPT LTD, company number 17390377, whose registered office is 97 Cheadle Road, Cheadle Hulme, Stockport, SK8 5DQ, United Kingdom (MyElitePT, we or us), and the invited personal trainer identified in the electronic acceptance record (Ambassador or you). If you contract through a limited company, that company is the Ambassador and you confirm that you may bind it. Otherwise you contract personally as a sole trader.

2. Definitions

Programme means the MyElitePT Founding PT Ambassador Programme. Platform means the MyElitePT website, apps and services. Active Client means a distinct coached client whose paid coaching service is active. FairScale means MyElitePT's monthly PT business fee calculated from direct-client coaching value under the PT Terms. Qualifying Referral means a genuine, non-refunded referral satisfying section 12 or 13. Benefits means only the dated benefits displayed in your Ambassador dashboard.

3. Invitation, eligibility and professional verification

The invitation is personal, single-use, email-bound and expires on the date shown. Selection does not bypass normal identity, qualification, insurance, Stripe or professional approval. You must keep all required evidence accurate and current.

4. Electronic acceptance and effective date

Your unticked, separate electronic acceptance records the terms version, time, user, account name, device information and document hash. The agreement and Benefits take effect only when MyElitePT approves your PT account and Stripe confirms required payment and payout capability.

5. Initial six-month term

The initial term lasts six months from activation unless suspended or ended earlier under this agreement.

6. Three-month review

We may review participation, content commitments, professional standing, product feedback, referral quality and compliance after three months. A review is not an automatic termination.

7. Renewal and continuation

Continuation after the initial term is by written or in-app confirmation. Time-limited Benefits do not renew merely because the relationship continues.

8. Ambassador obligations

While active you agree to display “MyElitePT Founding Ambassador” and your unique link in a relevant social bio; accept a joint launch post; publish one genuine introductory post or Reel; publish content wearing or demonstrating the personalised top within 21 days after receipt; share at least one useful MyElitePT story, post or feature demonstration each calendar month; and provide honest product feedback, particularly during pre-release.

9. MyElitePT benefits

Subject to status and displayed dates, Benefits may include a personalised top, Founding Ambassador badge, PT-level AI Toolkit access across your client base for up to six months, removal of the first three distinct Active Clients from the FairScale calculation for their first 90 days, social features, early access and referral rewards.

10. Limits, dates and stacking

Each qualifying first-three-client benefit lasts 90 days from that client's activation and removes that client's monthly coaching value from FairScale during that period. The AI Toolkit benefit is PT-level and applies across your client base until its displayed end date. Fee credits reduce the next eligible FairScale charge. Benefits never create a negative fee, duplicate discount or cash balance unless expressly described as a cash reward.

11. Referral attribution

Your public code is separate from your private invitation. A person must intentionally submit an active code during account creation. Attribution is permanent, limited to one Ambassador, cannot be self-attributed and is not normally added retrospectively. Fraud, duplicate accounts and recruitment chains are prohibited.

12. AI Coach referrals

The £10 reward is earned only after the referred person makes two genuinely successful AI Coach payments and the displayed refund or chargeback waiting period completes. A refund, dispute, chargeback, duplicate or fraudulent account may cancel or reverse a pending reward.

13. PT referrals and FairScale credit

The £25 FairScale credit is earned only after the referred PT completes professional and Stripe verification, is approved, activates their first coached client and that client’s first qualifying payment clears. Credit offsets future FairScale charges, may be used partially, is preserved while no FairScale amount is due and expires on the displayed date. It is not generic app credit or withdrawable cash.

14. Refunds, chargebacks, fraud and duplicate accounts

We may pause, cancel or reverse pending rewards where an underlying payment is refunded, disputed, charged back or reasonably linked to fraud, self-referral, duplicate identities or manipulation. We will keep an audit record and give a reason unless restricted by law or fraud prevention.

15. Advertising disclosure

Free products, discounted access and referral rewards are incentives. Relevant promotional content must identify advertising prominently and upfront, normally with “Ad” at the beginning. “Ambassador”, “gifted”, “supported by” or a bio statement alone may not be sufficient. Follow current CMA and ASA guidance linked in your dashboard.

16. Professional standards and safeguarding

Maintain appropriate qualifications, insurance and safeguarding practice; coach only within competence; protect vulnerable people; and comply with law, professional standards and MyElitePT safety rules.

17. Prohibited claims

Do not make misleading medical, earnings, transformation, guaranteed-results or risk-free claims. Use your genuine voice and do not claim personal experience you do not have.

18. Client consent and confidentiality

Obtain explicit, informed permission before publishing identifiable client content. Do not disclose health, payment, private chat, assessment or other confidential client information.

19. Data protection and privacy

Each party must comply with applicable UK data-protection law for its own processing. Referral reporting is deliberately privacy-limited. The MyElitePT Privacy Policy explains attribution and dashboard reporting.

20. Intellectual property and brand use

MyElitePT grants a limited, revocable, non-transferable licence during active membership to use approved programme names, badges, links and merchandise solely for truthful promotion. Do not alter marks misleadingly or imply qualification verification from the Ambassador badge.

21. Content-reuse permission

You retain ownership. You grant MyElitePT a non-exclusive, worldwide, royalty-free licence during the Programme and for 24 months afterward to repost approved Ambassador content on MyElitePT websites, apps, social accounts, email and sales materials. We may resize, crop, caption and make minor brand-format edits but not create a misleading endorsement. We will remove content where continued use would breach client consent, safeguarding or law after reasonable notice.

22. Confidentiality for unreleased features

Keep genuinely identified confidential pre-release information secure until public. General experience, independently known information and lawful protected disclosures are excluded.

23. Independent business relationship

You remain an independent business, not an employee, worker, agent, franchisee, partner or representative of MyElitePT. Nothing guarantees work, clients, income or marketplace ranking.

24. Tax, invoices and VAT

You are responsible for your tax, National Insurance, VAT status, invoices and records. MyElitePT does not operate self-billing unless a separate compliant written agreement and accounting workflow exists.

25. No authority to bind MyElitePT

You cannot enter contracts, incur liabilities, promise refunds, make warranties or speak officially on MyElitePT’s behalf.

26. Suspension and termination

Either party may end participation on reasonable written notice. MyElitePT may suspend or end immediately for serious professional, safety, privacy, advertising, fraud, payment or brand misuse concerns, or repeated failure to correct disclosed issues.

27. Effect of termination

Badges and active Benefits stop; pending rewards are treated under their eligibility rules; earned ledger entries remain auditable; and you must stop presenting yourself as active. Printed items may be retained but must not be used to imply current status, and stable QR links may show that participation ended without breaking consumer safety information.

28. Liability

Neither party excludes liability that law does not permit to be excluded, including fraud or personal injury caused by negligence. Subject to that, neither party is liable for indirect or consequential loss. MyElitePT’s aggregate contractual liability is limited to the greater of £250 and the platform fees retained from your account in the previous six months. This does not reduce your responsibility for professional coaching, client harm, confidentiality, intellectual property or unlawful advertising.

29. Notices

Formal notices to MyElitePT must be sent to legal@myelitept.app. Notices to you may be sent to your verified account email. Operational messages may be delivered in-app.

30. Changes

Material changes require a new version and notice. We will request renewed acceptance where the change materially affects obligations, reward conditions or rights; technical or beneficial changes may be notified without restarting the initial term.

31. Governing law and courts

English law governs this business agreement and the courts of England and Wales have exclusive jurisdiction, subject to mandatory rights that cannot lawfully be displaced.

32. Entire agreement and severability

This agreement, the PT Terms, Privacy Policy, invitation and dated Benefit schedule form the entire Ambassador arrangement. If one term is unenforceable, the rest continues. A delay in enforcing a right is not a waiver.
